This website ("Website") is owned and operated by Baringa Services Ltd (registration number 9971389) with its registered office at 62 Buckingham Gate, London, SW1E 6AJ, UK ("Baringa"). These are the terms and conditions ("Terms and Conditions") which apply to your use of Baringa’s work product specified below ("Work Product"). By inserting your email address below and pressing 'Submit' to receive the Work Product you agree that you or the entity which you represent and which intends to use the Work Product ("User") will be bound by the Terms and Conditions.

  1. All intellectual property in the Work Product belongs to Baringa. No rights to use the Work Product are granted by Baringa to User except in Clause 3. The Work Product has not been prepared specifically for the User and is not intended to address the specific business requirements of the User.
  2. SAVE WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED BY LAW, NEITHER BARINGA NOR ANY OF ITS AFFILIATES SHALL HAVE ANY LIABILITY OF ANY KIND IN ANY CIRCUMSTANCES WHATEVER TO THE USER IN RESPECT OF THE WORK PRODUCT. NO REPRESENTATIONS, CONDITIONS, WARRANTIES OR OTHER TERMS OF ANY KIND ARE GIVEN BY BARINGA OR ITS AFFILIATES IN RESPECT OF THE WORK PRODUCT, AND ALL STATUTORY WARRANTIES AND CONDITIONS ARE EXCLUDED TO THE FULLEST EXTENT POSSIBLE. BARINGA DISCLAIMS ALL LIABILITY PERMITTED BY LAW TO THE USER FOR THE USE OF THE WORK PRODUCT AND USER ACKNOWLEDGES THAT BARINGA OWES NO DUTY OF CARE TO USER.
  3. In consideration of the obligations contained in these Terms and Conditions the User is entitled to receive a copy of the Work Product solely for User’s internal commercial use ("Permitted Purpose"). User may not amend, alter, vary, remove Baringa’s name from or distribute or use for other commercial purposes the Work Product but may make such limited number of copies of the Work Product as are required for the Permitted Purpose. User shall ensure that the Work Product shall not be used for any purposes other than the Permitted Purpose and except as required by applicable law, regulation or the rules of any stock exchange shall remain confidential and shall not be disclosed to any other third party except to: (a) an Affiliate of the User; (b) officers, directors and employees of the User or its Affiliates (including those managing funds owned by other parties); (c) a party who is not a competitor of Baringa and who is engaged by User or its Affiliates to provide professional services to it; (d) professional legal, insurance, re-insurance and tax advisers of User or its Affiliates; (e) advisers providing accounting services to User or its Affiliates or to a relevant national audit office; and (f) to any person in connection with any actual or potential dispute or claim to which the User or its Affiliates are party, relating to the Work Product; in each case only to further the Permitted Purpose only and then only under appropriate confidentiality provisions.
  4. User shall not (and will ensure its Affiliates shall not) include or reference the Work Products in any documentation to support a company listing or sale of stock, assets or securities to be officially traded on a stock, securities or financial markets exchange.
  5. The Terms and Conditions are confidential and User agrees not to disclose the content to any other party except those permitted recipients of the Work Product in Clause 3 and as required by law or regulation. No forbearance or delay by Baringa in enforcing the Terms and Conditions will be deemed to be a waiver of any rights or of any breach. If any of the provisions of the Terms and Conditions are judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions will not be prejudiced. Baringa and User are independent contractors and neither is agent for the other, nor has any authority to make any contract for the other. The Terms and Conditions constitute the entire agreement of Baringa and User relating to the subject matter and supersede any previous agreement between them relating to the subject matter. No variation of the Terms and Conditions will be valid unless confirmed in writing by Baringa and User. No provision of the Terms and Conditions is intended to be enforceable by any person who is not Baringa or User. User will not assign the Terms and Conditions or any benefits or interests under it. "Affiliate" means in relation to Baringa or User any entity, whether incorporated or not, that is controlled by or under common control with that party and "control” (or variants of it) shall mean the ability whether directly or indirectly to direct the affairs of another by means of ownership, contract or otherwise. Any dispute arising out of or in connection with the Terms and Conditions or the Work Product shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this Clause 5. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be London, UK. The language to be used in the arbitral proceedings shall be English. The Terms and Conditions and any non-contractual obligations arising out of or in connection with them are governed by English law.
